If Affiliate is accepted into the Program, Affiliate shall notify Ticketfly in writing of any significant changes to the content or structure of Affiliate’s Site within ten (10) days of such change(s).
“MA”'s Obligations. MA will make no use of Confidential Information for any purpose except as expressly authorized by this Agreement. Except as expressly provided in this Agreement, MA will not disclose Confidential Information to any third party and will protect and treat all Confidential Information with the same degree of care as it uses to protect its own confidential information of like importance, but in no event with less than reasonable care. Except as expressly provided in this Agreement, MA will not use, make or have made any copies of Confidential Information, in whole or in part, without the prior written authorization of Company. In the event that MA is required to disclose Confidential Information pursuant to law, MA will notify Company of the required disclosure with sufficient time for Company to seek relief, will cooperate with Company in taking appropriate protective measures, and will make such disclosure in a fashion that maximizes protection of the Confidential Information from further disclosure.
Commissions will accrue and only become payable once you (i) provide all relevant tax and address documentation pursuant to Section 9 below and (ii) reach the Commission Threshold of $50 based on the commission rates stated on the FatCow website, solely as applied to Qualified Purchases which occurred within ninety (90) days of the end of the calendar month in which the first of such Qualified Purchases occurred. For example, if you provide sign-ups which result in one Qualified Purchase on January 1st and a second sign-up which leads to a Qualified Purchase on August 10th, and you provide all necessary tax documentation on August 10th, no commission would accrue because the second Qualified Purchase occurred more than one hundred and eighty (180) days after the end of January when the first Qualified Purchase occurred. However, if you subsequently provide a sign up which leads to another Qualified Purchase on September 5th of the same year, then commissions would accrue on the latter two Qualified Purchases (i.e., the Qualified Purchases from August and September of the same year). All Qualified Purchases still eligible to result in commissions under this Section 8 must remain active and in good standing pursuant to the terms of this Agreement in order to remain eligible for accrual of a commission. Once a commission has accrued under this Section 8, the amount of such commission (the “Commission Fee”) shall be due and payable to you under the terms of Section 9. FatCow reserves the right to change the Commission Threshold by amending this Agreement and will notify you for any such amendment pursuant to the terms of this Agreement.

7.1. Marketer hereby agrees to indemnify and hold harmless Fundraising Coach and their directors, officers, employees, agents, and designees, against any and all claims, actions, demands, liability, losses, damages, judgments, settlements, costs and expenses (collectively “Losses”) insofar as such Losses arise out of or are based on any claim that Marketer infringed on the intellectual property or other proprietary rights of any third party, any misrepresentation of a representation or warranty or breach of a covenant and agreement made by you herein, or any claim related to your site.
Some merchants run their own (in-house) affiliate programs using dedicated software, while others use third-party intermediaries to track traffic or sales that are referred from affiliates. There are two different types of affiliate management methods used by merchants: standalone software or hosted services, typically called affiliate networks. Payouts to affiliates or publishers can be made by the networks on behalf of the merchant, by the network, consolidated across all merchants where the publisher has a relationship with and earned commissions or directly by the merchant itself.
8.1. Fundraising Coach will not be liable to Marketer with respect to any subject matter in this Agreement under any contract, negligence, tort or other legal or equitable theory for any indirect, incidental, consequential, special or exemplary damages, even if Fundraising Coach has been advised of the possibility of such damages. Notwithstanding anything to the contrary contained in the Agreement, in no event shall Fundraising Coach’s cumulative liability to Marketer arising out of or related to this Agreement, whether based in contract, negligence, strict liability, tort or other legal or equitable theory, exceed the total commission fees paid to Marketer under this Agreement.
8.2. Affiliates that advertise among other keywords or exclusively bid in their pay-per-click campaigns on keywords such as AWeber, AWeber.com, www.AWeber, Awebber, and/or any misspellings or similar alterations of these - be it separately or in combination with other keywords - will be considered trademark violators, and will be terminated from AWeber's Affiliate Program. We will do everything possible to contact the Affiliate prior to the ban. However, we reserve the right to expel any trademark violator from our Affiliate Program without prior notice, and on the first occurrence of such pay-per-click bidding behavior.

Ticketfly may at any time, without prior notice, remove the Links described above, require Affiliate to remove the Links, or dynamically replace the Ticketfly creative or text with creative or text suitable to Ticketfly in Ticketfly’s sole discretion.

Affiliate may not in any manner misrepresent or embellish the relationship between the parties. While Ticketfly requests that Affiliate identify itself on its Site as a member of the Ticketfly Affiliate Network, Affiliate shall not otherwise engage in any promotions which name Ticketfly or imply any relationship or affiliation between the parties including, but not limited to, press releases, marketing materials, offline print advertising or marketing campaigns, media kits, screen shots, graphics altered for co-branding or any other format or media. Any such promotion will be considered grounds for immediate termination of this Agreement and may invoke further legal action.

Notwithstanding the foregoing or anything to the contrary in this Agreement, if any of the requirements set forth in section 5(a)(i-iv) remain outstanding for six (6) months immediately following the close of a Customer Transaction, then your right to receive Commission arising from any and all Customer Transactions with the associated Customer will be forever forfeited (each, a “Forfeited Transaction”). We will have no obligation to pay you Commission associated with a Forfeited Transaction. Once you comply with all of the requirements in section 5(a)(i-iv), then you will be eligible to receive Commission on Customer Transactions, as long as these Customer Transactions do not involve the same Customer associated with a Forfeited Transaction.
