You agree that all uses of the Licensed Materials will be on behalf of AWeber and the goodwill associated therewith (including any data derived from the Program) will inure to the sole benefit of AWeber.

8.2. Affiliates that among other keywords or exclusively bid in their Pay-Per-Click campaigns on keywords such as merchant.com, merchant, www.merchant, www.merchant.com, and/or any misspellings or similar alterations of these – be it separately or in combination with other keywords – and do not direct the traffic from such campaigns to their own website prior to re-directing it to ours, will be considered trademark violators, and will be banned from Merchant’s Affiliate Program. We will do everything possible to contact the affiliate prior to the ban. However, we reserve the right to expel any trademark violator from our affiliate program without prior notice, and on the first occurrence of such PPC bidding behavior.

You hereby agree to indemnify and hold harmless Merchant.com, and its subsidiaries and affiliates, and their directors, officers, employees, agents, shareholders, partners, members, and other owners, against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) (any or all of the foregoing hereinafter referred to as "Losses") insofar as such Losses (or actions in respect thereof) arise out of or are based on (i) any claim that our use of the affiliate trademarks infringes on any trademark, trade name, service mark, copyright, license, intellectual property, or other proprietary right of any third party, (ii) any misrepresentation of a representation or warranty or breach of a covenant and agreement made by you herein, or (iii) any claim related to your site, including, without limitation, content therein not attributable to us.
11.7. Equitable Relief. The parties agree that any breach of either of the party's obligations regarding trademarks, service marks or trade names, confidentiality, links or the removal of links, and/or user data may result in irreparable injury for which there may be no adequate remedy at law. Therefore, in the event of any breach or threatened breach of a party's obligations regarding trademarks, service marks or trade names, confidentiality, links or the removal of links, and/or user data, the aggrieved party will be entitled to seek equitable relief in addition to its other available legal remedies in a court of competent jurisdiction.
5.1. We may modify any of the terms and conditions in this Agreement at any time at our sole discretion. In such event, you will be notified by email, (sent to the email address provided in the course of your registration with the Company). Modifications may include, but are not limited to, changes in the payment procedures and the AWeber Affiliate Program rules. If any modification is unacceptable to you, you may terminate this Agreement. Your continued participation in the Program following the email of the change notice and the new Agreement on our site will indicate your agreement to the changes.
Each of the parties hereto agrees that all information including, without limitation, the terms of this Agreement, business and financial information, FatCow and vendor lists, and pricing and sales information, shall remain strictly confidential and shall not be utilized for any purpose outside the terms of this Agreement except and solely to the extent that any such information is (a) already lawfully known to or independently developed by the receiving party, (b) disclosed in published materials, (c) generally known to the public, or (d) lawfully obtained from any third party any obligation of confidentiality to the discloser hereunder. Notwithstanding the foregoing, each party is hereby authorized to deliver a copy of any such information (a) to any person pursuant to a valid subpoena or order issued by any court or administrative agency of competent jurisdiction, (b) to its accountants, attorneys, or other agents on a confidential basis, and (c) otherwise as required by applicable law, rule, regulation, or legal process including, without limitation, the Securities Exchange Act of 1933, as amended, and the rules and regulations promulgated thereunder, and the Securities Exchange Act of 1934, as amended, and the rules and regulations promulgated thereunder.
HomeNav will pay Affiliate Commissions during the term of this agreement. “Commissions” are an amount equal to the percentage of the aggregate Net Proceeds received by HomeNav from the sale of Qualifying Purchases actually made from the HomeNav Website for the affiliate program Affiliate signs up for. “Qualifying Purchases” means all HomeNav products and services that are purchased by users during a visit to the HomeNav Website immediately following navigation to the designated URL through a Link under this Affiliate Marketing Program. Commissions will not be payable on sales otherwise made from the HomeNav Website or other HomeNav channels, even if the customer previously made a Qualifying Purchase. “Net Proceeds” means the proceeds received by HomeNav from the sale of Qualifying Purchases on the HomeNav Website net of all returns, refunds, and allowances, less costs and expenses attributable to taxes, shipping and handling, fraud and bad debts, duties, and credit card processing. (For purposes of calculating Net Proceeds, credit card sales will be subject to a flat deduction of 3% of the sale price.)

It is in the best interest of the affiliate to send the most closely targeted traffic to the advertiser as possible to increase the chance of a conversion. The risk and loss are shared between the affiliate and the advertiser.

Desktop tracking relies on pixels, a snippet of code that picks up the end-user’s identification, aka a cookie. 3.1. We have the right to monitor your site at any time to determine if you are following the terms and conditions of this Agreement. We may notify you of any changes to your site that we feel should be made, or to make sure that your links to our web site are appropriate and to notify further you of any changes that we feel should be made. If you do not make the changes to your site that we feel are necessary, we reserve the right to terminate your participation in the Merchant.com Affiliate Program.

If you are a ServInt client who has chosen a cash payout, and your account is past due, any applicable payout will be applied to your outstanding balance first – and then the remainder will be issued via PayPal. We will only pay the Affiliate Fee to you if the Referred Customer provides us with your unique referral code, has not been a customer of ours within the previous 12 months, and actually pays for the Resold Services. Affiliate Fees for the PowerPartner™ Program are paid only for new Referred Customers, and are not retroactive to prior purchases or programs. Our sole and exclusive obligation to you is to pay you the Affiliate Fee, if due. If you terminate your agreement with us and there are Affiliate Fees due you, those Affiliate Fees will be forfeited.

Ticketfly will process transactions placed by customers who follow Links from Affiliate’s Site to the Ticketfly Site. Ticketfly reserves the right to reject transactions that do not comply with any reasonable requirements that Ticketfly may periodically establish. Ticketfly will be responsible for all aspects of transactions processing and fulfillment. Among other things, Ticketfly will prepare order forms; process payments, cancellations, and handle customer service. Ticketfly will track transactions made with customers who purchase products using Links and generate reports summarizing this sales activity which will be available to Affiliate through the Shareasale Network. The form, content, and frequency of the reports are limited to those reports and capabilities available through the Shareasale system. Ticketfly is not responsible for any changes that Shareasale may make in their reporting format, timing, or types of reports available to members of Shareasale and the Program. To permit accurate tracking, reporting, and fee accrual, Affiliate shall ensure that Links are properly formatted. Ticketfly will not be responsible for improperly formatted Links.


Within an affiliate agreement, the affiliate acts as an independent contractor without a joint venture or other legal entity. By signing the affiliate agreement, the affiliate acknowledges understanding of company policies indicated in the website and agrees to the outlined terms. The affiliate agreement may also require that the affiliate agree not to include any spam on the website and generally comply with federal and state anti-spam laws.
StudioPress is a WordPress hosting service and framework that is designed to make setting up and running a WordPress site much simpler and easier. StudioPress comes with its own unique themes and SEO tools, collectively known as the “Genesis framework.”.
