After your acceptance of the terms and conditions set out in this PowerPartner™ Affiliate Marketing Agreement (Agreement), we agree to appoint you as an authorized, limited, marketing representative for ServInt (ServInt, we, us, our). This Agreement does not give you an exclusive territory. Other affiliates, resellers and agents can and will compete against you for the same or similar customers. Your customers (the Referred Customer) are free to become our direct customers. We will not directly and specifically target your customers. You agree that general advertising, if directed to more than one entity, is not specifically or directly targeting your customers. Any link or other method to sign up potential Referred Customers must require affirmative action on the part of the Referred Customer. New sign ups may not be automatically generated. The Term of this Agreement is month-to-month, and may be terminated by either party upon five business days written notice.
On the bright side of the CPC model is that if you, as a publisher, serve ads that you know for certain match your audience interests, you should expect high revenues. But the dark side is that advertisers you serve ads for don’t pay you for all ad views that haven’t resulted into a click. The worst case scenario – you may serve a big volume of ads and not getting any revenue at all, if you fail to match your audience interests with ads topic(s) you serve. To sums up – this model is lucrative for a target audience only.

Ticketfly will pay Affiliate the Referral Fees on a rolling basis through the Shareasale Network, on the 20th of each month following a qualified transaction. Ticketfly pays Shareasale for the Referral Fees earned on Qualified Transactions that were purchased during the month, less any taxes that Ticketfly is required by law to withhold. Shareasale disburses the Affiliate’s commission payments. Affiliate may track the number of Qualified Transactions and associate Referral Fees through Shareasale’s Affiliate Reporting interface. Ticketfly does not make any guarantee of a minimum amount of business or that Affiliate will earn any amount of Referral Fees under this Agreement.

5.3. Marketer shall have access to Link statistics via the Control Panel. Marketer shall notify Fundraising Coach in writing within 14 days of the discovery of any discrepancy in user click-through rates; otherwise Marketer waives its right to claim such discrepancy, and the parties agree that Fundraising Coach’s records, at that time or later amended, shall be conclusive. Marketer hereby acknowledges that the Control Panel may not represent the final data used by Fundraising Coach to determine commission payments owed to Marketer, and Marketer hereby acknowledges that any Clawbacks may not be displayed in the Control Panel for a period of at least fourteen (14) days after the original purchase date, as displayed in the Control Panel.
As used in this agreement, “HomeNav” means HomeNav, LLC, and “Affiliate” means the affiliate or referral partner participating in the Affiliate Marketing Program. “Affiliate’s Website” individually and collectively means any or all of Affiliate’s website, email communications, and software applications. “Affiliate Marketing Program” means the program managed by or on behalf of HomeNav by which participating entities place links on their electronic properties that connect to the HomeNav Website and for which a commission is earned. The “HomeNav Website” means www.homenav.com.

The term of this agreement will begin upon HomeNav’s acceptance of Affiliate’s Website in the Affiliate Marketing Program and Affiliate’s acceptance of this agreement and will end when terminated as described in this agreement. Either HomeNav or Affiliate may terminate this agreement at any time, with or without cause, by giving the other at least five days’ written notice of termination. Affiliate is only eligible to earn commissions on sales occurring during the term of this agreement, and commissions earned through the date of termination will remain payable only if open orders are not canceled. HomeNav may withhold final payment for a reasonable time to ensure against cancellations.

For the purposes of this Agreement “Intellectual Property Rights” means copyright rights, trademark rights, patent rights, trade secrets, moral rights, right of publicity, authors’ rights, contract and licensing rights, goodwill and all other intellectual property rights as may exist now and/or hereafter come into existence and all renewals and extensions thereof, regardless of whether such rights arise under the laws of the United States or any other state, country or jurisdiction.
So, if you send a user to a retailer’s mobile website, and they decide to download the app, tracking will get lost through the app store and publishers don’t get paid for the install or potential purchase. Not to mention, the user faces a poor experience since once the app downloads they are not deep linked into the page they were viewing and abandon the purchase all together. A lose, lose. These breakdowns have caused publishers to under-invest in mobile, leaving retailers even more dependant on the ever increasing power of Google and Facebook.

Given that I am still in reading and preparation phase, I am mainly interested to overlap my niche with real life interests so I could have motivation to produce content on regular basis. Applicable Law. This Agreement shall be governed by the laws of the Commonwealth of Massachusetts, without regard to the conflict of laws provisions thereof. In the event either of us initiates an action in connection with this Agreement or any other dispute between the parties, the exclusive venue and jurisdiction of such action shall be in the state and federal courts in Boston, Massachusetts.

HomeNav hereby grants to Affiliate during the term of this agreement a non-exclusive, non-transferable, royalty-free license to establish hyperlinks between Affiliate’s Website and the HomeNav Website and to use HomeNav’s trade names, logos, trademarks, and service marks (the “HomeNav Marks”) on Affiliate’s Website solely as is reasonably necessary to establish and promote Links and to otherwise perform Affiliate’s obligations under this agreement, subject to HomeNav’s prior approval. Affiliate shall use the HomeNav Marks strictly in accordance with HomeNav’s trademark policy if HomeNav makes such a policy available to Affiliate.

Chronologically CPA model is the newest model and from an advertiser point of view it’s the one that makes the most sense – they pay only for specific action website visitors or mobile app users take. It means that they’re ready to pay a lot more for each action and it opens up the way for publishers to make much more money than with both CPM and CPC models. The downside of this model is that in practice you may end up in a situation when you don’t generate any revenue for days or more and then suddenly the offers you’ve been promoting begin to convert. Unfortunately there is no way of predicting in advance if and when you may get in such trouble. Last but not least, publishers don’t have a way of knowing for sure if website visitors or app users they send to advertisers have actually completed actions that advertisers claim they did. The bottom line is – it’s the most lucrative but highly unpredictable.
An affiliate marketing agreement may be a merchant’s first defense to prevent third-party advertisers from using unlawful or distasteful advertising practices to advertise the merchant’s business.  Of course, you want affiliates to advertise your company in a legal and professional way, but even more importantly, there’s a chance you could be held liable if they don’t.
