Failure to complete any enrollment criteria within thirty (30) days of your acceptance will result in the immediate termination of this Agreement and you will no longer be able to participate in the Affiliate Program.

This product support commitment is only applicable to Company’s Technology running under the certified environments specified in the release notes of the end user licensing agreement for that Technology or Package. Company may from time to time, however, discontinue Technology or versions and stop supporting Technology or versions one year after discontinuance, or otherwise discontinue any support service. Company is not liable for incidental, special or consequential damages for any reason (including loss of data or other business or property damage), even if foreseeable or if MA or Customer has advised of such a claim. Company's liability shall not exceed the fees that MA has paid under this Agreement. MA agrees that the pricing for the services would be substantially higher but for these limitations.
HomeNav will pay Affiliate Commissions during the term of this agreement. “Commissions” are an amount equal to the percentage of the aggregate Net Proceeds received by HomeNav from the sale of Qualifying Purchases actually made from the HomeNav Website for the affiliate program Affiliate signs up for. “Qualifying Purchases” means all HomeNav products and services that are purchased by users during a visit to the HomeNav Website immediately following navigation to the designated URL through a Link under this Affiliate Marketing Program. Commissions will not be payable on sales otherwise made from the HomeNav Website or other HomeNav channels, even if the customer previously made a Qualifying Purchase. “Net Proceeds” means the proceeds received by HomeNav from the sale of Qualifying Purchases on the HomeNav Website net of all returns, refunds, and allowances, less costs and expenses attributable to taxes, shipping and handling, fraud and bad debts, duties, and credit card processing. (For purposes of calculating Net Proceeds, credit card sales will be subject to a flat deduction of 3% of the sale price.)
1.2. You must be approved by the Company before your participation in AWeber's Affiliate Program. Company reserves the right to withhold or refuse approval for any reason and without providing any further detail as to the reason(s) of the application rejection. Once you have been approved, your continued right to participate is conditioned upon the ongoing compliance with the terms and conditions of this Agreement. Failure of the Affiliate to observe the terms and conditions of this Agreement or privacy policy posted on Company's Site will disqualify Affiliate from participating in the Program. What you can see if you look around is that developers and others have come up with alternative ways, such as using a man in the middle proxy or scraping the site, to get API-like information. (Using a technique like scraping is a violation of Airbnb’s Terms of Service.)

WE WILL NOT BE LIABLE TO YOU WITH RESPECT TO ANY SUBJECT MATTER OF THIS AGREEMENT UNDER ANY CONTRACT, NEGLIGENCE, TORT, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF REVENUE OR GOODWILL OR ANTICIPATED PROFITS OR LOST BUSINESS), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHER, NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED IN THIS AGREEMENT, IN NO EVENT SHALL MERCHANT.COM'S CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER BASED IN CONTRACT, NEGLIGENCE, STRICT LIABILITY, TORT OR OTHER LEGAL OR EQUITABLE THEORY, EXCEED THE TOTAL COMMISSION FEES PAID TO YOU UNDER THIS AGREEMENT.

8.6. AWeber Affiliates are rewarded for networking and bringing in new customers through their own marketing efforts. AWeber prohibits Affiliates from utilizing their Affiliate link to refer their own customer account(s) to receive commission (“self referrals”). This also includes accounts that are not under their name but are paid for using a payment medium that they own. This includes forms of online payment (Credit/Debit cards) but also checks and money orders. Also prohibited are referrals for individuals of the Affiliate’s immediate family or household, or any other such relationship deemed problematic by the Company. 

During the Term of this Agreement, we will, at our discretion, provide you with marketing materials that you may use to promote the Resold Services (Marketing Materials). We grant to you a non-exclusive, revocable, non-transferable, non-sub licensable right and license to use the Marketing Materials for the sole purpose of advertising, promoting and/or marketing the Resold Services. You agree to use the Marketing Materials only in accordance with our guidelines and in the exact form that we provide them to you. While we will use reasonable efforts to create Marketing Materials with effective tracking codes, we are not responsible for any Affiliate Fees should those tracking codes fail to operate correctly, or should a particular Referred Customer modify its browser settings in such a way that the tracking codes are not transmitted to us. You agree not to use any of the Marketing Materials, or make any representations, warranties or other statements concerning us or the Resold Products, or any of our other products, services or our company, except as set out in this Agreement. We retain all right, title and interest in and to the Marketing Materials. You agree to make no filing or claim that contravenes our sole ownership interest in the Marketing Materials. In marketing, you agree to only use those methods that reflect positively on our brand. This means you may not use link farms, spamming, adware, stealware, hijacking, or other methods that are perceived within the internet community as unfair or unsavory. In your marketing efforts, you must identify yourself clearly, and comply with all relevant laws. In particular, you are required to comply with the regulations of the Federal Trade Commission as they relate to unfair and deceptive advertising practices, including, but not limited to, regulations regarding attribution in blogs. If you use email to market our services, each email must be individually generated, and the recipient must have a pre-existing relationship with you. You may not market to individuals who are under the age of eighteen. We own the trademarks “ServInt,” “FlexVPS,” “FlexDedicated,” “SimpleScale,” and all other marks associated with our brand (“ServInt Marks”). You may only use the ServInt Marks if they are included in the Marketing Materials. All other uses require our written permission. In particular, you may not use the ServInt Marks as adwords, metatags or domain names, alone, or in conjunction with other words. You agree to indemnify us and hold us fully harmless for claims made against us based on your violation of this paragraph.

8.2. Affiliates that advertise among other keywords or exclusively bid in their pay-per-click campaigns on keywords such as AWeber, AWeber.com, www.AWeber, Awebber, and/or any misspellings or similar alterations of these - be it separately or in combination with other keywords - will be considered trademark violators, and will be terminated from AWeber's Affiliate Program. We will do everything possible to contact the Affiliate prior to the ban. However, we reserve the right to expel any trademark violator from our Affiliate Program without prior notice, and on the first occurrence of such pay-per-click bidding behavior.

You further represent and warrant that: (i) you will ensure that you are compliant with any trade or regulatory requirements that may apply to your participation in the Affiliate Program (for example, by clearly stating you are a HubSpot Affiliate on any website(s) you own where you make an Affiliate Link available); (ii) you will accurately provide in the Affiliate Tool all websites and domains you own where you intend to use Affiliate Links to generate Affiliate Leads; (iii) you will not purchase ads that direct to your site(s) or through an Affiliate Link that could be considered as competing with HubSpot’s own advertising, including, but not limited to, our branded keywords; (iv) you will not participate in cookie stuffing or pop-ups, false or misleading links are strictly prohibited; (v) you will not attempt to mask the referring URL information; (vi) you will not use your own Affiliate Link to purchase HubSpot products for yourself.
8.4. Affiliate shall not transmit any so-called "interstitials," "Parasiteware™," "Parasitic Marketing," "Shopping Assistance Application," "Toolbar Installations and/or Add-ons," "Shopping Wallets" or "deceptive pop-ups and/or pop-unders" to consumers from the time the consumer clicks on a qualifying link until such time as the consumer has fully exited Merchant's site (i.e., no page from our site or any AWeber's content or branding is visible on the end-user's screen). As used herein, "Parasiteware™" and "Parasitic Marketing" shall mean an application that (a) through accidental or direct intent causes the overwriting of Affiliate and non Affiliate commission tracking cookies through any other means than a customer initiated click on a qualifying link on a web page or email; (b) intercepts searches to redirect traffic through an installed software thereby causing pop ups, commission tracking cookies to be put in place, or other commission tracking cookies to be overwritten where a user would under normal circumstances have arrived at the same destination through the results given by the search (search engines being, but not limited to, Google, Bing, Yahoo, AOL and similar search or directory engines); (c) set commission tracking cookies through loading of AWeber's site in IFrames, hidden links and automatic pop ups that open AWeber's site; (d) targets text on websites, other than those web sites 100% owned by the application owner, for the purpose of contextual marketing; or (e) removes, replaces or blocks the visibility of affiliate banners with any other banners, other than those that are on websites 100% owned by the owner of the application.
Each of the parties hereto agrees that all information including, without limitation, the terms of this Agreement, business and financial information, FatCow and vendor lists, and pricing and sales information, shall remain strictly confidential and shall not be utilized for any purpose outside the terms of this Agreement except and solely to the extent that any such information is (a) already lawfully known to or independently developed by the receiving party, (b) disclosed in published materials, (c) generally known to the public, or (d) lawfully obtained from any third party any obligation of confidentiality to the discloser hereunder. Notwithstanding the foregoing, each party is hereby authorized to deliver a copy of any such information (a) to any person pursuant to a valid subpoena or order issued by any court or administrative agency of competent jurisdiction, (b) to its accountants, attorneys, or other agents on a confidential basis, and (c) otherwise as required by applicable law, rule, regulation, or legal process including, without limitation, the Securities Exchange Act of 1933, as amended, and the rules and regulations promulgated thereunder, and the Securities Exchange Act of 1934, as amended, and the rules and regulations promulgated thereunder.
Business Practices. Company shall not specify the business practices of MA, nor regulate the manner in which MA shall operate its business, provided that MA (a) conducts business in a manner that reflects favorably at all times on the Technology sold and the good name, goodwill and reputation of Company and its affiliates; (b) avoid deceptive, misleading or unethical practices that are or might be detrimental to Company and/or its Affiliates, the Technology or the public, including but not limited to disparagement of Company or the Technology; (c) make no false or misleading representation with respect to Company or the Technology; and (d) make no representations with respect to Company or the Technology that are inconsistent with any applicable license agreement(s) for the Technology provided by Company, promotional materials and other literature distributed by Company pertaining specifically to the Technology, including all liability limitations and disclaimers contained in such materials.
