1.4. Marketer shall post in a conspicuous manner on its website a privacy policy that clearly and adequately describes how consumer information is collected and used. Failure to have and maintain a privacy policy may result in termination of this Agreement.

5.1. Marketer shall earn a forty percent (40%) commission on sales of any Products sold through the Link, and Marketer shall earn an additional five percent (5%) commission on sales of any Product sold through a Sub-Marketer’s Link, except that Fundraising Coach is not responsible, and shall not be required to make commission payments to Marketer, in the event that said cookies are lost or destroyed in any manner, including but not limited to a user’s clearing of the cache or cookies on their web browser.
Ticketfly will pay Affiliate the Referral Fees on a rolling basis through the Shareasale Network, on the 20th of each month following a qualified transaction. Ticketfly pays Shareasale for the Referral Fees earned on Qualified Transactions that were purchased during the month, less any taxes that Ticketfly is required by law to withhold. Shareasale disburses the Affiliate’s commission payments. Affiliate may track the number of Qualified Transactions and associate Referral Fees through Shareasale’s Affiliate Reporting interface. Ticketfly does not make any guarantee of a minimum amount of business or that Affiliate will earn any amount of Referral Fees under this Agreement.

TICKETFLY SHALL NOT BE LIABLE TO YOU OR TO ANY OTHER PERSON OR ENTITY FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT (HOWEVER ARISING, AND REGARDLESS OF THE THEORY OF RECOVERY). TICKETFLY’S TOTAL LIABILITY TO AFFILIATE ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT IS LIMITED TO THE GREATER OF FIVE HUNDRED DOLLARS ($500) OR THE AMOUNTS PAID BY TICKETFLY TO AFFILIATE DURING THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE FIRST REOCCURRENCE OF EVENTS GIVING RISE TO THE IMPOSITION OF LIABILITY UNDER THIS AGREEMENT. SOME JURISDICTIONS DO NOT ALLOW THE FOREGOING LIMITATIONS, SO THEY MAY NOT APPLY TO AFFILIATE.

Ticketfly reserves the right to reject transactions that do not comply with any reasonable requirements that Ticketfly may periodically establish. Ticketfly will be responsible for all aspects of transactions processing and fulfillment. Among other things, Ticketfly will prepare order forms; process payments, cancellations, and handle customer service. Ticketfly will track transactions made with customers who purchase products using Links and generate reports summarizing this sales activity which will be available to Affiliate through the Shareasale Network. The form, content, and frequency of the reports are limited to those reports and capabilities available through the Shareasale system. Ticketfly is not responsible for any changes that Shareasale may make in their reporting format, timing, or types of reports available to members of Shareasale and the Program. To permit accurate tracking, reporting, and fee accrual, Affiliate shall ensure that Links are properly formatted. Ticketfly will not be responsible for improperly formatted Links.


2.2. All Affiliates that engage in email marketing must have the consent of the recipient to send such email and shall maintain records evidencing such consent including, without limitation: (a) Subscriber opt-in date; (b) Registration source; (c) First name; (d) Last name; (e) E-mail address; (f) Privacy Policy of Source Site; (g) Any other information collected; and (h) Affiliate will supply such records to Company within one (1) business day of a request.

5.6. In the event of a Clawback, Fundraising Coach shall not pay any commissions on such Clawback, and shall be authorized hereunder to cancel any commission payment already made to Marketer. If Marketer attempts to block or invalidate any bona fide attempt by Fundraising Coach to cancel said commission payment as a result of a Clawback, Marketer shall have violated this material term of this Agreement and this Agreement shall become immediately void.

Your acceptance of this Agreement and participation in the Affiliate Program will not violate (i) any provision of law, rule, or regulation to which you are subject, (ii) any order, judgment, or decree applicable to you or binding upon your assets or properties, (iii) any provision of your by-laws or certificate of incorporation, or (iv) any agreement or other instrument applicable to you or binding upon your assets or properties.
