Ticketfly will pay Affiliate the Referral Fees on a rolling basis through the Shareasale Network, on the 20th of each month following a qualified transaction. Ticketfly pays Shareasale for the Referral Fees earned on Qualified Transactions that were purchased during the month, less any taxes that Ticketfly is required by law to withhold. Shareasale disburses the Affiliate’s commission payments. Affiliate may track the number of Qualified Transactions and associate Referral Fees through Shareasale’s Affiliate Reporting interface. Ticketfly does not make any guarantee of a minimum amount of business or that Affiliate will earn any amount of Referral Fees under this Agreement.

You will comply with the sanctions programs administered by the Office of Foreign Assets Control (OFAC) of the US Department of the Treasury.  You will not directly or indirectly export, re-export, or transfer the HubSpot Products to prohibited countries or individuals or permit use of the HubSpot Products by prohibited countries or individuals.

As used in this agreement, “HomeNav” means HomeNav, LLC, and “Affiliate” means the affiliate or referral partner participating in the Affiliate Marketing Program. “Affiliate’s Website” individually and collectively means any or all of Affiliate’s website, email communications, and software applications. “Affiliate Marketing Program” means the program managed by or on behalf of HomeNav by which participating entities place links on their electronic properties that connect to the HomeNav Website and for which a commission is earned. We will do everything possible to contact the affiliate prior to the ban. However, we reserve the right to expel any trademark violator from our affiliate program without prior notice, and on the first occurrence of such PPC bidding behavior.

6.4. AWeber will only pay Affiliates for commissions that are earned and tracked while active members of the Program. Any Affiliate that is removed from the Program because of non-compliant behavior will no longer receive commissions from any referred customers. Affiliates who voluntarily close their account will cease earning commissions immediately, as will any Affiliate who is removed due to cessation of promotional activity (no visible links or click activity for a period of one (1) year or more) and is not responsive to outreach attempts.

4.1. This Agreement will begin immediately upon your submission of the application, and will continue unless terminated hereunder. Either you or we may end this Agreement with or without cause, immediately. Termination notice may be provided via email and if so you must immediately cease all advertising activities. All commissions then due will be paid during the next billing cycle, subject to any final accounting and quality assurance verification. Should any violations of Program terms be discovered, any pending payments may be forfeited.
11.12. Modifications. We may modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion, by posting a change notice or a new agreement on the BTI Affiliate Partner Site and giving you notice of the modification through InfusionSoft. Modifications may include, for example, changes in the scope of available referral fees, referral fee schedules, payment procedures, and Program rules.

Notwithstanding the foregoing or anything to the contrary in this Agreement, if any of the requirements set forth in section 5(a)(i-iv) remain outstanding for six (6) months immediately following the close of a Customer Transaction, then your right to receive Commission arising from any and all Customer Transactions with the associated Customer will be forever forfeited (each, a “Forfeited Transaction”). We will have no obligation to pay you Commission associated with a Forfeited Transaction. Once you comply with all of the requirements in section 5(a)(i-iv), then you will be eligible to receive Commission on Customer Transactions, as long as these Customer Transactions do not involve the same Customer associated with a Forfeited Transaction.


9.1.
