Company is not liable for incidental, special or consequential damages for any reason (including loss of data or other business or property damage), even if foreseeable or if MA or Customer has advised of such a claim. Company's liability shall not exceed the fees that MA has paid under this Agreement. MA agrees that the pricing for the services would be substantially higher but for these limitations.

Affiliates are paid approximately every 30 days, approximately 15 days after the prior period, provided that Company may, in its discretion, withhold payments until such time as referred customers have completed payment for our service. Additional payment options (including, but not limited to, electronic payments whether directly or via a 3rd-party provider) may be added at any time. Should this occur, a notice will be sent via email with details and instructions for enrollment. Digital Payments (such as PayPal) sent to a valid email address cannot be reversed or retrans`mitted for any reason. You are only entitled to use the Licensed Materials to the extent that you are a member in good standing of Merchant.com's Affiliate Program. You agree that all uses of the Licensed Materials will be on behalf of Merchant.com and the good will associated therewith will inure to the sole benefit of Merchant.com.
HubSpot’s Proprietary Rights.  No license to any software is granted by this Agreement. The HubSpot Products are protected by intellectual property laws. The HubSpot Products belong to and are the property of us or our licensors (if any). We retain all ownership rights in the HubSpot Products. You agree not to copy, rent, lease, sell, distribute, or create derivative works based on the HubSpot Content, or the HubSpot Products in whole or in part, by any means, except as expressly authorized in writing by us. HubSpot, the Sprocket Design, the HubSpot logos, and other marks that we use from time to time are our trademarks and you may not use them without our prior written permission, except as otherwise set forth in this Agreement.

2.2. As a member of Merchant.com's Affiliate Program, you will have access to Affiliate Account Manager. The Affiliate Fee will be paid to you in the form of a cash payment, delivered via PayPal, or a hosting credit of equal value, applied against your monthly hosting bill. If you choose to receive your payment in the form of hosting credit, and your Affiliate Fee exceeds your monthly bill, the Affiliate Fee will be carried forward and applied to subsequent monthly bills. We will pay the Affiliate Fee to you after we have received the second full month’s payment, or, in the case of prepaid accounts, two months after the Referred Customer’s initial purchase. Cash payments made via PayPal will be issued monthly. If you are a ServInt client who has chosen a cash payout, and your account is past due, any applicable payout will be applied to your outstanding balance first – and then the remainder will be issued via PayPal. We will only pay the Affiliate Fee to you if the Referred Customer provides us with your unique referral code, has not been a customer of ours within the previous 12 months, and actually pays for the Resold Services. Affiliate Fees for the PowerPartner™ Program are paid only for new Referred Customers, and are not retroactive to prior purchases or programs. Our sole and exclusive obligation to you is to pay you the Affiliate Fee, if due. If you terminate your agreement with us and there are Affiliate Fees due you, those Affiliate Fees will be forfeited.

This agreement has been made in and will be construed and enforced in accordance with the laws of the State of Missouri without giving effect to Missouri’s conflict of laws principles. Any action arising hereunder will be brought exclusively in the state courts located in St. Louis County, Missouri or in the United States District Court for the Eastern District of Missouri.

Disclaimer of Warranties. WE AND OUR AFFILIATED COMPANIES AND AGENTS MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, SECURITY OR ACCURACY OF THE HUBSPOT PRODUCTS, HUBSPOT CONTENT, THE AFFILIATE PROGRAM OR THE AFFILIATE TOOL FOR ANY PURPOSE. TO THE EXTENT PERMITTED BY LAW, THE HUBSPOT PRODUCTS AND AFFILIATE TOOL ARE PROVIDED "AS IS" WITHOUT WARRANTY OR CONDITION OF ANY KIND. WE DISCLAIM ALL WARRANTIES AND CONDITIONS OF ANY KIND WITH REGARD TO THE HUBSPOT PRODUCTS AND THE AFFILIATE TOOL INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
All confidential information, including, but not limited to, any business, technical, financial, and customer information, disclosed by one party to the other during negotiation or the effective term of this Agreement which is marked "Confidential," will remain the sole property of the disclosing party, and each party will keep in confidence and not use or disclose such proprietary information of the other party without express written permission of the disclosing party.

As used in this agreement, “HomeNav” means HomeNav, LLC, and “Affiliate” means the affiliate or referral partner participating in the Affiliate Marketing Program. “Affiliate’s Website” individually and collectively means any or all of Affiliate’s website, email communications, and software applications. “Affiliate Marketing Program” means the program managed by or on behalf of HomeNav by which participating entities place links on their electronic properties that connect to the HomeNav Website and for which a commission is earned. The “HomeNav Website” means www.homenav.com.
An affiliate agreement refers to the terms of services between an advertiser and an affiliate (generally a publisher or website) that oversee and define the affiliate relationship. The affiliate agreement specifies each party's responsibilities as well as the payout or commissions, which are generally determined by how many people click on the advertiser's link on the affiliate's site. 

Many consumers have reservations about online behavioral targeting. By tracking users' online activities, advertisers are able to understand consumers quite well. Advertisers often use technology, such as web bugs and respawning cookies, to maximizing their abilities to track consumers.[60]:60[95] According to a 2011 survey conducted by Harris Interactive, over half of Internet users had a negative impression of online behavioral advertising, and forty percent feared that their personally-identifiable information had been shared with advertisers without their consent.[96][97] Consumers can be especially troubled by advertisers targeting them based on sensitive information, such as financial or health status.[95] Furthermore, some advertisers attach the MAC address of users' devices to their 'demographic profiles' so they can be retargeted (regardless of the accuracy of the profile) even if the user clears their cookies and browsing history.[citation needed]
