Affiliate acknowledges that it has read this Agreement and agrees to all its terms and conditions. Affiliate understands that Ticketfly may at any time (directly or indirectly) solicit customer referrals on terms that may differ from those contained in this Agreement or operate websites that are similar to or compete with Affiliate’s site. Affiliate has independently evaluated the desirability of participating in the Program and is not relying on any representations or statements other than as set forth in this Agreement.
Subject to the limitations set forth in Section 3 above and otherwise in this Agreement, we grant you a non-exclusive, non-transferable, revocable license to (i) access our website through the Links solely in accordance with the terms of this Agreement and (ii) solely in connection with such Links, to use the FatCow trademark and logo and similar identifying material provided by us (collectively, the "Licensed Materials"), for the sole purpose of selling FatCow Products and Services on your Affiliate Site and as approved in advance by us. You may not alter, modify, or change the Licensed Materials in any way. You are only entitled to use the Licensed Materials while you are an Affiliate in good standing and in compliance with all of the terms of this Agreement.
HomeNav hereby grants to Affiliate during the term of this agreement a non-exclusive, non-transferable, royalty-free license to establish hyperlinks between Affiliate’s Website and the HomeNav Website and to use HomeNav’s trade names, logos, trademarks, and service marks (the “HomeNav Marks”) on Affiliate’s Website solely as is reasonably necessary to establish and promote Links and to otherwise perform Affiliate’s obligations under this agreement, subject to HomeNav’s prior approval. Affiliate shall use the HomeNav Marks strictly in accordance with HomeNav’s trademark policy if HomeNav makes such a policy available to Affiliate.
The API — which is available by application only — is also an interesting twist. Up to now, the company has not offered a widely-usable API for third parties to integrate its listings. What you can see if you look around is that developers and others have come up with alternative ways, such as using a man in the middle proxy or scraping the site, to get API-like information. (Using a technique like scraping is a violation of Airbnb’s Terms of Service.)

Desktop tracking relies on pixels, a snippet of code that picks up the end-user’s identification, aka a cookie. Pixels rely on the user’s browser to track conversion, which is easy to set up, but on smartphones, cookies are blocked as a default setting — meaning cookies are never placed on a user’s mobile device. This means that Ticketfly will not pay you for transactions that, among other things, result from a link directly to Ticketfly.com from any Internet site other than your Site, such as from a Sponsored Link as set forth in Section 14 of this Agreement. This also means that you will not be entitled to Referral Fees for tickets sold that are ultimately returned or refunded.
IN NO EVENT SHALL COMPANY BE LIABLE TO “MA”, ITS CLIENTS, OR ANY THIRD PARTY FOR ANY TORT OR CONTRACT DAMAGES OR INDIRECT, SPECIAL, GENERAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS OR ANTICIPATED PROFITS AND LOSS OF GOODWILL, ARISING IN CONNECTION WITH THE USE (OR INABILITY TO USE) OR DISTRIBUTION OF THE TECHNOLOGY FOR ANY PURPOSE WHATSOEVER.
An affiliate marketing program is a lot of work, and in most situations there's a lot of competition so you're not going to be bringing in money immediately. Business owners and entrepreneurs suppose that all you need do is setup a site and choose an affiliate to associate with and then just let it run its course. But according to Three Ladders Marketing, only 0.6% of affiliate marketers surveyed have been in the game since 2013. That means that affiliate marketing takes time and effort to build and make money.

Discounts and Coupons. You are not allowed to post any refunds, credits or discounts on the FatCow Products and Services, or other content concerning FatCow without FatCow’s prior written consent in each instance. Affiliates may only use coupons and discounts that are provided exclusively through the Affiliate Program using banners and links. Each Link connecting users of the Affiliate Site to the pertinent area of the FatCow website will in no way alter the look, feel, or functionality of the FatCow website. Any violations of the terms surrounding links, coupons, refunds, credits or discounts shall constitute a material breach of this Agreement, and may result in your termination from the Affiliate Program or the withholding of Commission Fees

8.1. Fundraising Coach will not be liable to Marketer with respect to any subject matter in this Agreement under any contract, negligence, tort or other legal or equitable theory for any indirect, incidental, consequential, special or exemplary damages, even if Fundraising Coach has been advised of the possibility of such damages. Notwithstanding anything to the contrary contained in the Agreement, in no event shall Fundraising Coach’s cumulative liability to Marketer arising out of or related to this Agreement, whether based in contract, negligence, strict liability, tort or other legal or equitable theory, exceed the total commission fees paid to Marketer under this Agreement.

Affiliate shall indemnify and hold harmless OptinMonster and its affiliate and subsidiary companies, officers, directors, employees, licensees, successors and assigns, including those licensed or authorized by OptinMonster to transmit and distribute materials, from any and all liabilities, damages, fines, judgments, claims, costs, losses, and expenses (including reasonable legal fees and costs) arising out of or related to any and all claims sustained in connection with this Agreement due to the negligence, misrepresentation, failure to disclose, or intentional misconduct of Affiliate.
