You hereby agree to indemnify and hold harmless Merchant.com, and its subsidiaries and affiliates, and their directors, officers, employees, agents, shareholders, partners, members, and other owners, against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) (any or all of the foregoing hereinafter referred to as "Losses") insofar as such Losses (or actions in respect thereof) arise out of or are based on (i) any claim that our use of the affiliate trademarks infringes on any trademark, trade name, service mark, copyright, license, intellectual property, or other proprietary right of any third party, (ii) any misrepresentation of a representation or warranty or breach of a covenant and agreement made by you herein, or (iii) any claim related to your site, including, without limitation, content therein not attributable to us.

Affiliate may not in any manner misrepresent or embellish the relationship between the parties. While Ticketfly requests that Affiliate identify itself on its Site as a member of the Ticketfly Affiliate Network, Affiliate shall not otherwise engage in any promotions which name Ticketfly or imply any relationship or affiliation between the parties including, but not limited to, press releases, marketing materials, offline print advertising or marketing campaigns, media kits, screen shots, graphics altered for co-branding or any other format or media. Any such promotion will be considered grounds for immediate termination of this Agreement and may invoke further legal action.
5.3. Marketer shall have access to Link statistics via the Control Panel. Marketer shall notify Fundraising Coach in writing within 14 days of the discovery of any discrepancy in user click-through rates; otherwise Marketer waives its right to claim such discrepancy, and the parties agree that Fundraising Coach’s records, at that time or later amended, shall be conclusive. Marketer hereby acknowledges that the Control Panel may not represent the final data used by Fundraising Coach to determine commission payments owed to Marketer, and Marketer hereby acknowledges that any Clawbacks may not be displayed in the Control Panel for a period of at least fourteen (14) days after the original purchase date, as displayed in the Control Panel.

As an affiliate you may be privy to embargoed or time-sensitive information in these emails (this information may only be promoted after an embargo is lifted). And we won’t spam you, ever – promise!
You further represent and warrant that: (i) you will ensure that you are compliant with any trade or regulatory requirements that may apply to your participation in the Affiliate Program (for example, by clearly stating you are a HubSpot Affiliate on any website(s) you own where you make an Affiliate Link available); (ii) you will accurately provide in the Affiliate Tool all websites and domains you own where you intend to use Affiliate Links to generate Affiliate Leads; (iii) you will not purchase ads that direct to your site(s) or through an Affiliate Link that could be considered as competing with HubSpot’s own advertising, including, but not limited to, our branded keywords; (iv) you will not participate in cookie stuffing or pop-ups, false or misleading links are strictly prohibited; (v) you will not attempt to mask the referring URL information; (vi) you will not use your own Affiliate Link to purchase HubSpot products for yourself.

HomeNav will pay Affiliate Commissions during the term of this agreement. “Commissions” are an amount equal to the percentage of the aggregate Net Proceeds received by HomeNav from the sale of Qualifying Purchases actually made from the HomeNav Website for the affiliate program Affiliate signs up for. “Qualifying Purchases” means all HomeNav products and services that are purchased by users during a visit to the HomeNav Website immediately following navigation to the designated URL through a Link under this Affiliate Marketing Program. Commissions will not be payable on sales otherwise made from the HomeNav Website or other HomeNav channels, even if the customer previously made a Qualifying Purchase. “Net Proceeds” means the proceeds received by HomeNav from the sale of Qualifying Purchases on the HomeNav Website net of all returns, refunds, and allowances, less costs and expenses attributable to taxes, shipping and handling, fraud and bad debts, duties, and credit card processing. (For purposes of calculating Net Proceeds, credit card sales will be subject to a flat deduction of 3% of the sale price.)

FatCow reserves the right to deduct from Affiliate's current and future Commission Fees any and all Commission Fees corresponding to any fraudulent, questionable, and cancelled purchases.
