1.1. This Agreement contains the complete terms and conditions governing your relationship with the Company and, if applicable, your participation in the AWeber Affiliate Program (the "Program"). The purpose of this Agreement is to allow HTML linking between your website and the AWeber website for the purpose of referring potential customers to AWeber. Please note that throughout this Agreement, "we," "us," and "our" refer to AWeber, and "you," "your," and "yours" refer to the Affiliate.

For the purposes of this Agreement, “Link(s)” means the code that Ticketfly makes available to Affiliate that is used for linking from your Site to web pages on Ticketfly.com, and may include banners, text, search boxes, buttons, or other graphics or devices. All Links used in the Program shall be served by the Shareasale Network. Ticketfly may, in its sole discretion, consider written requests to use other serving mechanisms, on a case by case basis. Once you complete an application to become an Affiliate, we will review your application and notify you whether you have been accepted to participate in the Affiliate Program, or not.  Before we accept an application, we may want to review your application with you, so we may reach out to you for more information. We may require that you complete certain requirements or certification(s) before we accept your application. If we do not notify you that you are accepted to participate in the Affiliate Program within thirty (30) days from your application, your application is considered to be rejected.

A relative newcomer to the affiliate space, MaxBounty was founded in 2004 in Ottawa, Canada. MaxBounty claims to be the only affiliate network built specifically for affiliates. Any notice provided for or permitted under this Agreement will be treated as having been given when (i) delivered personally, (ii) sent by confirmed telex or fax; (iii) sent by nationally recognized commercial overnight courier with written verification or receipt; or (iv) mailed postage prepaid by certified or registered mail, return receipt requested, to the party to be notified, at the address set forth on Affiliates applicable registration form, in the case of Affiliate, and the address set forth below for Ticketfly. This provision shall not apply to Section 17, “Modifications.”
Business Practices. Company shall not specify the business practices of MA, nor regulate the manner in which MA shall operate its business, provided that MA (a) conducts business in a manner that reflects favorably at all times on the Technology sold and the good name, goodwill and reputation of Company and its affiliates; (b) avoid deceptive, misleading or unethical practices that are or might be detrimental to Company and/or its Affiliates, the Technology or the public, including but not limited to disparagement of Company or the Technology; (c) make no false or misleading representation with respect to Company or the Technology; and (d) make no representations with respect to Company or the Technology that are inconsistent with any applicable license agreement(s) for the Technology provided by Company, promotional materials and other literature distributed by Company pertaining specifically to the Technology, including all liability limitations and disclaimers contained in such materials.

Some commentators originally suggested that affiliate links work best in the context of the information contained within the website itself. For instance, if a website contains information pertaining to publishing a website, an affiliate link leading to a merchant's internet service provider (ISP) within that website's content would be appropriate. If a website contains information pertaining to sports, an affiliate link leading to a sporting goods website may work well within the context of the articles and information about sports. The goal, in this case, is to publish quality information on the website and provide context-oriented links to related merchant's websites.
5.4. Fundraising Coach shall make all payments to Marketer no sooner than 14 days after the close of the previous month’s accounting date so that all Clawbacks may be accounted for. All payments will be made from Fundraising Coach to Marketer via PayPal accounts. It is Marketer’s sole responsibility to maintain an active PayPal account and Fundraising Coach is not responsible for any fees charged to Marketer from PayPal.

5.6. In the event of a Clawback, Fundraising Coach shall not pay any commissions on such Clawback, and shall be authorized hereunder to cancel any commission payment already made to Marketer. If Marketer attempts to block or invalidate any bona fide attempt by Fundraising Coach to cancel said commission payment as a result of a Clawback, Marketer shall have violated this material term of this Agreement and this Agreement shall become immediately void.

Such responsibility includes, without limitation: (i) the technical operation of Affiliate’s Site and all related equipment; (ii) the accuracy, timeliness and appropriateness of content posted on Affiliate’s Site; (iii) ensuring that posted materials do not violate or infringe upon the rights of any third party; (iv) ensuring that posted content is not libelous or otherwise illegal. Affiliate shall not use any Ticketfly proprietary materials in a manner that is disparaging or that otherwise portrays Ticketfly in a negative light.


This agreement governs participation in the Brian Tracy Affiliate Partnership Program only. Once you are accepted into the Program, you will be able to participate in the Program subject to the terms and conditions of this Agreement. You should also note that if you are accepted to participate in the Program and your Site is thereafter determined (in our sole discretion) to be unsuitable based on the criteria below for the Program, we may terminate this Agreement:

8.1. You are free to promote your own web sites, but naturally any promotion that mentions Merchant.com could be perceived by the public or the press as a joint effort. You should know that certain forms of advertising are always prohibited by Merchant.com. For example, advertising commonly referred to as "spamming" is unacceptable to us and could cause damage to our name. Other generally prohibited forms of advertising include the use of unsolicited commercial email (UCE), postings to non-commercial newsgroups and cross-posting to multiple newsgroups at once. In addition, you may not advertise in any way that effectively conceals or misrepresents your identity, your domain name, or your return email address. You may use mailings to customers to promote Merchant.com so long as the recipient is already a customer or subscriber of your services or web site, and recipients have the option to remove themselves from future mailings. Also, you may post to newsgroups to promote Merchant.com so long as the news group specifically welcomes commercial messages. At all times, you must clearly represent yourself and your web sites as independent from Merchant.com. If it comes to our attention that you are spamming, we will consider that cause for immediate termination of this Agreement and your participation in the Merchant.com Affiliate Program. Any pending balances owed to you will not be paid if your account is terminated due to such unacceptable advertising or solicitation.
You hereby agree to indemnify and hold harmless Merchant.com, and its subsidiaries and affiliates, and their directors, officers, employees, agents, shareholders, partners, members, and other owners, against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) (any or all of the foregoing hereinafter referred to as "Losses") insofar as such Losses (or actions in respect thereof) arise out of or are based on (i) any claim that our use of the affiliate trademarks infringes on any trademark, trade name, service mark, copyright, license, intellectual property, or other proprietary right of any third party, (ii) any misrepresentation of a representation or warranty or breach of a covenant and agreement made by you herein, or (iii) any claim related to your site, including, without limitation, content therein not attributable to us.

After your acceptance of the terms and conditions set out in this PowerPartner™ Affiliate Marketing Agreement (Agreement), we agree to appoint you as an authorized, limited, marketing representative for ServInt (ServInt, we, us, our). This Agreement does not give you an exclusive territory. Other affiliates, resellers and agents can and will compete against you for the same or similar customers. Your customers (the Referred Customer) are free to become our direct customers. We will not directly and specifically target your customers. You agree that general advertising, if directed to more than one entity, is not specifically or directly targeting your customers. Any link or other method to sign up potential Referred Customers must require affirmative action on the part of the Referred Customer. New sign ups may not be automatically generated. The Term of this Agreement is month-to-month, and may be terminated by either party upon five business days written notice.
