5.1. We may modify any of the terms and conditions in this Agreement at any time at our sole discretion. In such event, you will be notified by email, (sent to the email address provided in the course of your registration with the Company). Modifications may include, but are not limited to, changes in the payment procedures and the AWeber Affiliate Program rules. If any modification is unacceptable to you, you may terminate this Agreement. Your continued participation in the Program following the email of the change notice and the new Agreement on our site will indicate your agreement to the changes.

Each of the parties hereto agrees that all information including, without limitation, the terms of this Agreement, business and financial information, FatCow and vendor lists, and pricing and sales information, shall remain strictly confidential and shall not be utilized for any purpose outside the terms of this Agreement except and solely to the extent that any such information is (a) already lawfully known to or independently developed by the receiving party, (b) disclosed in published materials, (c) generally known to the public, or (d) lawfully obtained from any third party any obligation of confidentiality to the discloser hereunder. Notwithstanding the foregoing, each party is hereby authorized to deliver a copy of any such information (a) to any person pursuant to a valid subpoena or order issued by any court or administrative agency of competent jurisdiction, (b) to its accountants, attorneys, or other agents on a confidential basis, and (c) otherwise as required by applicable law, rule, regulation, or legal process including, without limitation, the Securities Exchange Act of 1933, as amended, and the rules and regulations promulgated thereunder, and the Securities Exchange Act of 1934, as amended, and the rules and regulations promulgated thereunder. 

The implementation of affiliate marketing on the internet relies heavily on various techniques built into the design of many web-pages and websites, and the use of calls to external domains to track user actions (click tracking, Ad Sense) and to serve up content (advertising) to the user. Most of this activity adds time[citation needed] and is generally a nuisance to the casual web-surfer and is seen as visual clutter.[citation needed] Various countermeasures have evolved over time to prevent or eliminate the appearance of advertising when a web-page is rendered. Third party programs (Ad-Aware, Adblock Plus, Spybot, pop-up blockers, etc.) and particularly, the use of a comprehensive HOSTS file can effectively eliminate the visual clutter and the extra time and bandwidth needed to render many web pages. The use of specific entries in the HOSTS file to block these well-known and persistent marketing and click-tracking domains can also aid in reducing a system's exposure to malware by preventing the content of infected advertising or tracking servers to reach a user's web-browser.[citation needed]
Mobile advertising is ad copy delivered through wireless mobile devices such as smartphones, feature phones, or tablet computers. During the Term of this Agreement, we will, at our discretion, provide you with marketing materials that you may use to promote the Resold Services (Marketing Materials). We grant to you a non-exclusive, revocable, non-transferable, non-sub licensable right and license to use the Marketing Materials for the sole purpose of advertising, promoting and/or marketing the Resold Services. You agree to use the Marketing Materials only in accordance with our guidelines and in the exact form that we provide them to you. While we will use reasonable efforts to create Marketing Materials with effective tracking codes, we are not responsible for any Affiliate Fees should those tracking codes fail to operate correctly, or should a particular Referred Customer modify its browser settings in such a way that the tracking codes are not transmitted to us. You agree not to use any of the Marketing Materials, or make any representations, warranties or other statements concerning us or the Resold Products, or any of our other products, services or our company, except as set out in this Agreement. We retain all right, title and interest in and to the Marketing Materials. You agree to make no filing or claim that contravenes our sole ownership interest in the Marketing Materials. In marketing, you agree to only use those methods that reflect positively on our brand. This means you may not use link farms, spamming, adware, stealware, hijacking, or other methods that are perceived within the internet community as unfair or unsavory. In your marketing efforts, you must identify yourself clearly, and comply with all relevant laws. In particular, you are required to comply with the regulations of the Federal Trade Commission as they relate to unfair and deceptive advertising practices, including, but not limited to, regulations regarding attribution in blogs. If you use email to market our services, each email must be individually generated, and the recipient must have a pre-existing relationship with you. You may not market to individuals who are under the age of eighteen. We own the trademarks “ServInt,” “FlexVPS,” “FlexDedicated,” “SimpleScale,” and all other marks associated with our brand (“ServInt Marks”). You may only use the ServInt Marks if they are included in the Marketing Materials. All other uses require our written permission. In particular, you may not use the ServInt Marks as adwords, metatags or domain names, alone, or in conjunction with other words. You agree to indemnify us and hold us fully harmless for claims made against us based on your violation of this paragraph.
Effects of Expiration/Termination.  Expiration of this Agreement, and termination of this Agreement: (i) without cause by us,(ii) by you with cause, (iii) by you according to the ‘Termination for Agreement Changes’ section, shall not affect our obligation to pay you a Commission, so long as the related payment by the Customer Transaction is recognized by us within thirty (30) days after the date of such termination or expiration and provided that in no event shall you be entitled to payment of Commission under this Agreement if you are eligible to receive a revenue share payment under the Sales Solution Program Agreement, Sales Referral Program Agreement or Agency Partner Program Agreement. We will not pay you fees on Customer Transactions recognized by us after thirty (30) days after the date of such termination or expiration set out above.  Provided however, in the event of termination without cause by you, or for cause by us, our obligation to pay and your right to receive any Commission will terminate upon the date of such termination, regardless of whether you would have otherwise been eligible to receive Commission prior to the date of termination. Except as expressly set forth in this section, you are not eligible to receive a Commission payment after expiration or termination of this Agreement. Upon termination or expiration, you will discontinue all use of and delete the Affiliate Tool that we make available to you for your participation in the Affiliate Program. Upon termination or expiration, an Affiliate Lead is not considered valid, and we may choose to maintain it in our database and engage with such a prospect.
The affiliate program industry landscape is presented with a broad range of players, from big companies, such as Commission Junction, Tradedoubler to specialists that are focused on a specific marketing niche, such as mobile and apps. Thanks to the mobile app ecosystem exponential growth for the last 8+ years, the latter became the most dynamic and lucrative industry for affiliates.

Affiliate marketing is also called "performance marketing", in reference to how sales employees are typically being compensated. Such employees are typically paid a commission for each sale they close, and sometimes are paid performance incentives for exceeding objectives.[21] Affiliates are not employed by the advertiser whose products or services they promote, but the compensation models applied to affiliate marketing are very similar to the ones used for people in the advertisers' internal sales department.


This the just normal economics of internet marketing coming into play. Affiliates are not really used to “normal” profit margins in a traditional business sense. We talk about 200-300% ROI per day like it’s normal. When you’re on native advertising for affiliate marketing campaigns, you’ll find that the more you scale, the more your ROI goes down (but your overall profit goes up).

Commissions will accrue and only become payable once you (i) provide all relevant tax and address documentation pursuant to Section 9 below and (ii) reach the Commission Threshold of $50 based on the commission rates stated on the FatCow website, solely as applied to Qualified Purchases which occurred within ninety (90) days of the end of the calendar month in which the first of such Qualified Purchases occurred. For example, if you provide sign-ups which result in one Qualified Purchase on January 1st and a second sign-up which leads to a Qualified Purchase on August 10th, and you provide all necessary tax documentation on August 10th, no commission would accrue because the second Qualified Purchase occurred more than one hundred and eighty (180) days after the end of January when the first Qualified Purchase occurred. However, if you subsequently provide a sign up which leads to another Qualified Purchase on September 5th of the same year, then commissions would accrue on the latter two Qualified Purchases (i.e., the Qualified Purchases from August and September of the same year). All Qualified Purchases still eligible to result in commissions under this Section 8 must remain active and in good standing pursuant to the terms of this Agreement in order to remain eligible for accrual of a commission. Once a commission has accrued under this Section 8, the amount of such commission (the “Commission Fee”) shall be due and payable to you under the terms of Section 9. FatCow reserves the right to change the Commission Threshold by amending this Agreement and will notify you for any such amendment pursuant to the terms of this Agreement.

13.1. You hereby agree to indemnify and hold harmless AWeber and their subsidiaries and affiliates, and their directors, officers, employees, agents, shareholders, partners, members, and other owners, against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) (any or all of the foregoing hereinafter referred to as "Losses") insofar as such Losses (or actions in respect thereof) arise out of or are based on (i) any claim that you infringed on any trademark, trade name, service mark, copyright, license, intellectual property, or other proprietary right of any third party, (ii) any misrepresentation of a representation or warranty or breach of a covenant and agreement made by you herein, or (iii) any claim related to your site.


Some web browsers offer privacy modes where users can hide information about themselves from publishers and advertisers. Among other consequences, advertisers can't use cookies to serve targeted ads to private browsers. Most major browsers have incorporated Do Not Track options into their browser headers, but the regulations currently are only enforced by the honor system.[89][90][91]
Many voucher code web sites use a click-to-reveal format, which requires the web site user to click to reveal the voucher code. The action of clicking places the cookie on the website visitor's computer. In the United Kingdom, the IAB Affiliate Council under chair Matt Bailey announced regulations[42] that stated that "Affiliates must not use a mechanism whereby users are encouraged to click to interact with content where it is unclear or confusing what the outcome will be."
Although it differs from spyware, adware often uses the same methods and technologies. Merchants initially were uninformed about adware, what impact it had, and how it could damage their brands. Affiliate marketers became aware of the issue much more quickly, especially because they noticed that adware often overwrites tracking cookies, thus resulting in a decline of commissions. Affiliates not employing adware felt that it was stealing commission from them. Adware often has no valuable purpose and rarely provides any useful content to the user, who is typically unaware that such software is installed on his/her computer.

No Resale Limitations. Unless otherwise stated in this Agreement, Company shall not require that MA be limited to the persons or accounts to which it may market, distribute or sublicense any product or service that MA sells or desires to sell, including without limitation, the Technology, within the Territory as defined in Schedule A of this Agreement.
Affiliate promotional efforts are often native, and the content they create informs consumers about the products they really want. This creates a strong relationship between affiliates and consumers and offers businesses the opportunity to build stronger brands, expand their reach, and increase incremental sales. Affiliate marketing is also a fairly cost-effective marketing channel as affiliates are paid on the basis of performance.

The term of this agreement will begin upon HomeNav’s acceptance of Affiliate’s Website in the Affiliate Marketing Program and Affiliate’s acceptance of this agreement and will end when terminated as described in this agreement. Either HomeNav or Affiliate may terminate this agreement at any time, with or without cause, by giving the other at least five days’ written notice of termination. Affiliate is only eligible to earn commissions on sales occurring during the term of this agreement, and commissions earned through the date of termination will remain payable only if open orders are not canceled. HomeNav may withhold final payment for a reasonable time to ensure against cancellations.
This Agreement contains the complete terms and conditions that apply to you becoming an affiliate in Merchant.com's Affiliate Program. The purpose of this Agreement is to allow HTML linking between your web site and the Merchant.com web site. Please note that throughout this Agreement, "we," "us," and "our" refer to Merchant.com, and "you," "your," and "yours" refer to the affiliate.
When promoting your affiliate program, make sure you’re including information that potential promoters want to know. Generally, the most influential parts of your program are the product/service relevancy, affiliate program reputation , and affiliate network or tracking platform. Make sure you include that information when you promote your program.

Commission and Payment. Requirements for Payment; Forfeiture. In order to receive payment under this Agreement, you must have: (i) agreed to the terms of this Agreement (generally completed through the Affiliate Tool); (ii) completed all steps necessary to create your account in the Affiliate Tool in accordance with our directions, (iii) have a valid and up-to-date paypal account and updated the Affiliate Tool with such account (iv) completed any and all required tax documentation in order for HubSpot to process any payments that may be owed to you.
Upon the execution of this Agreement, MA shall pay to Company a quarterly service fee (the “Service Fee”) in the amount equal to US $15,000.00 on the first day of each quarter for the Term of this Agreement as set forth in Section 1 hereinabove, for each month that MA has no sales pursuant to this Schedule A, with the first payment due and payable on the date of execution of this Agreement.
15.1. You agree that you are an independent contractor, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Merchant.com. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on Your Site or any other of Your Site or otherwise, that reasonably would contradict anything in this Section.
WE WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, OR ANY LOSS OF REVENUE, PROFITS, OR DATA, ARISING IN CONNECTION WITH THIS AGREEMENT OR THE AFFILIATE PROGRAM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHER, OUR AGGREGATE LIABILITY ARISING WITH RESPECT TO THIS AGREEMENT AND THE AFFILIATE PROGRAM WILL NOT EXCEED THE TOTAL COMMISSIONS PAID OR PAYABLE TO YOU UNDER THIS AGREEMENT DURING THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.

HomeNav will be solely responsible for fulfilling all orders for its products and services and payment processing, and customers who buy products and services through the Affiliate Marketing Program will be deemed customers of HomeNav. Accordingly, all rules, policies, operating procedures, and information concerning customer orders and sales will apply to those customers, including HomeNav’s rules of privacy, confidentiality, terms of use, and terms of sale. HomeNav may change its policies, operating procedures, and terms of use and sale at any time without notice to Affiliate.

Vetting relationships will be extremely important, as well as ensuring that each party and your company have the appropriate consents and disclosures concerning collection, tracking, and processing personal data of your customers. Intelligent tools will be key for monitoring the types and treatment of covered data. As 2018 nears, it is essential to ask your vendors and partners whether they are or will be compliant by the May deadline, and to provide supporting details concerning their compliance efforts.”
2.1. Fundraising Coach has the right to monitor Marketer’s website to determine if Marketer is following this Agreement and guidelines, including but not limited to, at any time, review Marketer’s placement of the marketing Link, reject the use of the Links, and require that Marketer change the placement or use of the Link to comply with the guidelines provided herein.
